Deal Structure
The total consideration for the acquisition is valued at up to $7.55 million, structured across three components:
- Cash at closing: $2.525 million
- Draganfly common shares: $2.5 million, issued at a deemed price of $6.46 per share via Special Warrants; vesting is contingent on the founders remaining actively engaged with Draganfly operations for at least one year post-closing.
- Performance-based earn-out: Up to $2.5 million, payable in cash or up to 80% in Draganfly shares at $6.46 per share (at the company's discretion), subject to the achievement of specified business milestones.
